Item 3.02 Unregistered Sale of Equity Securities.
On July 1, 2022, Assure Holdings Corp. (the “Company”) entered into an investor relations services agreement with an investor relations firm pursuant to which the Company agreed to issue to such firm 25,000 common stock purchase warrants in consideration of services to be rendered under the terms of the services agreement, such warrants to be issued to the firm at the end of the first 60-day period of the performance of such services. Each warrant is exercisable to acquire one share of common stock of the Company for a period of five years from the date of issuance at an exercise price of $1.47 per share. The warrants were issued to the firm pursuant to Section 4(a)(2) under the United States Securities Act of 1933, as amended, pursuant to the representations of the firm contained in the services agreement.

On July 6, 2022, the Company issued a press release announcing its partnership with Hayden IR, LLC. A copy of the press release and is attached to this report as Exhibit 99.1 and incorporated herein by this reference.
